These Terms govern your use of our website and services. Paid engagements are also covered by a separate service agreement, which prevails for that engagement.

Agreement to terms

These Terms & Conditions (“Terms”) govern your access to and use of the dubaicopilot.ai website and our managed AI operations services provided by [LEGAL ENTITY NAME] (“we”, “us”, “our”). By accessing the website or engaging our services, you agree to these Terms. If you do not agree, do not use the website or services.

Definitions

  • “Services” means the website, the Workflow Diagnostic, and the design, build, integration, governance, and operation of AI agents we provide.
  • “Engagement” means a specific paid project or retainer governed by a separate service agreement or statement of work.
  • “Client Data” means data and content you or your systems make available to us in connection with an Engagement.

Our services

The website provides information about our services. Paid Engagements (for example a Workflow Diagnostic, a Pilot Agent, or Managed AI Operations) are governed by a separate written service agreement that takes precedence over these Terms in the event of conflict for that Engagement.

Engagements, proposals, and scope

Proposals, scopes, timelines, and deliverables are defined per Engagement. Diagnostic and Pilot fees are fixed as quoted; Managed AI Operations retainers are scoped to the number of agents, workflows, and support level agreed in writing.

Fees and payment

Fees, currency, taxes, and payment terms are set out in the applicable service agreement or invoice. Unless stated otherwise, invoices are payable within [PAYMENT TERMS]. Late payments may be subject to charges as permitted by law.

Client responsibilities

  • Provide accurate information and timely access to the systems, documents, and people needed to deliver an Engagement.
  • Maintain appropriate authority and approvals for the workflows being automated.
  • Review and validate agent outputs in line with the human governance controls configured for each workflow.

Acceptable use

You agree not to misuse the website or services, including by attempting to gain unauthorised access, disrupting operation, infringing intellectual property, or using them for unlawful purposes.

Intellectual property

We retain all rights in our platform, software, methods, and pre-existing materials. You retain ownership of your Client Data. Subject to payment and the applicable service agreement, you receive a licence to use the deliverables created for your Engagement for your internal business operations.

Confidentiality

Each party will protect the other's confidential information and use it only to perform or receive the services, except where disclosure is required by law. Engagement-specific confidentiality and data-processing terms are set out in the service agreement.

Artificial intelligence

  • Agents act autonomously only on decisions you define as low-risk and rules-based; medium- and high-risk decisions route to human approval.
  • We do not use your data or outputs to train public or third-party foundation models.
  • Agent outputs are decision-support produced from your sources and rules; you are responsible for final decisions in line with your governance configuration.

Third-party services and links

The services integrate with third-party systems and may link to third-party websites. We are not responsible for the content, availability, or practices of third parties, and your use of them is subject to their own terms.

Warranties and disclaimers

Except as expressly stated in a service agreement, the website and services are provided “as is” to the extent permitted by law. Illustrative metrics and sample scenarios shown on our website are examples, not guarantees of specific results. We design deployments to be compliance-friendly but do not certify your compliance on your behalf.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages. Our total liability arising out of an Engagement is limited as set out in the applicable service agreement, or, where none applies, to the amounts paid by you for the relevant services.

Indemnification

Each party will indemnify the other against third-party claims to the extent arising from its breach of these Terms or applicable law, subject to the limitations set out in the service agreement.

Term and termination

These Terms apply while you use the website or services. Engagements may be terminated as set out in their service agreements. Provisions that by their nature should survive termination (including confidentiality, intellectual property, and limitation of liability) will survive.

Governing law and jurisdiction
